PharmLabs LLC provides analytical testing services for chemical and biological substances. Before engaging our services, clients must agree to the following terms and conditions:

  TERMS AND CONDITIONS

  1) Authorized Substances: Clients affirm that they are authorized to possess, transport, and submit for testing all substances provided to PharmLabs LLC. This includes compliance with all relevant laws, regulations, and industry standards pertaining to the possession, transportation, and testing of such substances. This includes ensuring that substances do not contain any banned or controlled substances without proper authorization and documentation.

  2) Representation and Warranties: Clients represent and warrant that all substances submitted for testing do not contain any prohibited, illegal, or scheduled substances as defined by local, state, federal, or international laws. Clients further represent that they have obtained all necessary permits, licenses, or authorizations required for the possession and submission of these substances for testing.

  3) Exclusion of Liability: PharmLabs LLC shall not be held liable for any damages, losses, liabilities, or legal consequences arising from the submission of unauthorized substances for testing. Clients assume full responsibility for ensuring the legality and authorization of all substances submitted for testing.

  4) Right to Refuse Service: PharmLabs LLC reserves the right to refuse service for any substance that is suspected to be unauthorized, illegal, or poses a risk to the safety, reputation, or legal compliance of PharmLabs LLC. Such substances will not be accepted for testing, and clients will be notified accordingly.

  5) Confidentiality: PharmLabs LLC maintains strict confidentiality regarding all client information, including the nature of substances submitted for testing. However, PharmLabs LLC may disclose information to appropriate authorities if there is suspicion of illegal activity or non-compliance with applicable laws.

  6) Limitation of Liability: Clients acknowledge and agree that PharmLabs LLC, its officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to the testing services provided, including but not limited to:

    a. Errors, inaccuracies, or inconsistencies in test results or data;
    b. Delays in testing or reporting;
    c. Loss of profits, business opportunities, or goodwill;
    d. Damage to reputation or credibility;
    e. Any other loss or damage arising from the use or reliance on testing services or results;

  7) Disclaimer of Warranties: PharmLabs LLC makes no warranties or representations, express or implied, regarding the accuracy, completeness, reliability, or suitability of the testing services or results for any particular purpose. All testing services are provided on an "as is" and "as available" basis.

  8) Assumption of Risk: Clients assume all risks associated with the submission and testing of substances, including but not limited to:

    a. Risks related to the nature and properties of the substances being tested;
    b. Risks related to the accuracy and reliability of testing methodologies;
    c. Risks related to regulatory compliance and legal implications.

  9) No Guarantees: PharmLabs LLC does not guarantee or warrant that testing services will meet clients' expectations, requirements, or objectives, or that testing results will be error-free, accurate, or reliable.

  10) No Professional Advice: Clients acknowledge that testing services provided by PharmLabs LLC are not intended to constitute professional advice or recommendations. Clients are advised to seek appropriate professional or expert advice as needed.

  11) Modification of Terms: PharmLabs LLC reserves the right to modify or update these terms and conditions at any time without prior notice. Clients are responsible for reviewing the terms periodically to ensure compliance.

  12) Governing Law: This agreement shall be governed by the laws of [Jurisdiction], without regard to its conflict of law provisions.

  13) Entire Agreement: This document and any related agreements constitute the entire agreement between PharmLabs LLC and the client, superseding all prior communications.

  14) Severability: If any provision is deemed invalid or unenforceable, the remaining provisions remain in full effect.

  15) Acknowledgment: By using our services, clients affirm they have read, understood, and agreed to these terms.

By engaging our services, clients acknowledge that they have read, understood, and agree to abide by these terms and conditions. Failure to comply with these terms may result in the termination of testing services as deemed necessary by PharmLabs LLC.
